1. Introduction and Definitions

1.1 About This Agreement

These Terms & Conditions ("Terms") constitute a legally binding agreement between Los Jurados UK Ltd ("we", "us", "our", "the Company") and the client ("you", "your", "Client") for the provision of translation and related services.

1.2 Definitions

In these Terms, the following definitions apply:

  • "Certified Translation" means a translation accompanied by a signed certificate attesting to its accuracy and completeness, produced in accordance with UK industry standards and bearing the certification stamp of either Los Jurados UK Ltd or ATCG Tõlkebüroo OÜ.
  • "Source Document" means the original document provided by the Client for translation.
  • "Target Document" means the translated document produced by our translators.
  • "UKVI" means UK Visas and Immigration, a division of the Home Office.
  • "Services" means translation, certification, notarisation, legalisation, and any other services we provide to you.
  • "Quotation" means our written estimate of charges for the Services.
  • "Delivery Date" means the date specified for completion of the Services.
  • "Business Day" means Monday to Friday, excluding public holidays in England and Wales.

1.3 Agreement Formation

1.3.1 By placing an order with us, you confirm that you have read, understood, and agree to be bound by these Terms.

1.3.2 Contract Commencement - Prepayment Required

A binding contract is formed when:

  • Payment is received in full to our designated bank account (for individual clients and new business clients); or
  • We accept your order in writing following receipt of payment; or
  • Work commences after payment has cleared in our account.
1.3.3 IMPORTANT: Prepayment Policy

Contract commencement requires prepayment. Los Jurados UK Ltd operates on a prepayment basis for all Services unless credit terms have been specifically agreed in writing for established corporate clients. No work will commence until payment has been received and cleared in our account.

1.3.4 These Terms apply to all Services provided by us and supersede any previous agreements, representations, or understandings between the parties.

2. Scope of Services

2.1 Translation Services

2.1.1 We provide professional translation services in multiple language pairs, with particular expertise in translations required for UK immigration, visa applications, and official purposes.

2.1.2 Our Services include but are not limited to:

  • Certified translations for UKVI and Home Office requirements
  • Certified translations for legal proceedings
  • Certified translations of civil documents (birth certificates, marriage certificates, academic diplomas, etc.)
  • Notarised translations
  • Apostilled translations (in conjunction with the FCDO Legalisation Office)
  • Document authentication guidance
  • Urgent and same-day translation services where available

2.2 Certification Options

2.2.1 Translations may be certified by either:

  • Los Jurados UK Ltd (Company Number 16901329, registered in England & Wales), or
  • ATCG Tõlkebüroo OÜ (Registry Code 12173332, registered in Estonia)

2.2.2 Both companies maintain the same high standards of quality and compliance with UK and international requirements for certified translations.

2.2.3 The choice of certifying company may depend on:

  • Client preferences
  • Document type and destination country
  • Language pair and translator availability
  • Specific authority requirements

2.2.4 Unless you specify a preference, we will determine the most appropriate certifying entity for your project. Both certifications are recognised by UK authorities including UKVI and UK courts.

2.3 Translator Selection and Competence

2.3.1 We carefully select translators based on their qualifications, experience, and subject matter expertise appropriate to each project.

2.3.2 Translators working on certified translations have qualifications, professional memberships, or demonstrable experience commensurate with UK industry standards as set out by the ATC, CIOL, and ITI.

2.3.3 We maintain the right to assess and attest to a translator's competence in producing translations fit for their intended purpose.

2.4 Independent Contractor Relationship

2.4.1 Translators engaged by us work as independent contractors and are not employees or agents of Los Jurados UK Ltd or ATCG Tõlkebüroo OÜ.

2.4.2 We do not exercise control over the day-to-day working methods of translators, who maintain independence in how they complete translation tasks.

2.4.3 The Company takes responsibility for translator selection, quality assessment, and the final certified translation product delivered to Clients.

2.5 Services Not Provided

2.5.1 We do not provide:

  • Legal advice regarding immigration applications or document requirements
  • Guarantees regarding the acceptance of translations by third parties
  • Verification of the authenticity of Source Documents
  • Interpretation services (unless specifically agreed in writing)
  • Machine translation without human review

3. Orders and Quotations

3.1 Requesting a Quotation

3.1.1 You may request a quotation by:

3.1.2 To provide an accurate quotation, we require:

  • Clear, legible copies of all Source Documents
  • Specification of source and target languages
  • Intended use of the translation (e.g., UKVI application, court proceedings)
  • Required delivery date
  • Type of certification required (certified, notarised, apostilled)

3.2 Quotation Validity

3.2.1 Quotations are valid for 14 days from the date of issue unless otherwise stated.

3.2.2 We reserve the right to revise quotations if:

  • The scope of work changes
  • Source Documents differ from those initially provided
  • Additional pages or documents are added
  • Expedited delivery is requested
  • Market conditions significantly change (currency fluctuations, supplier price changes)

3.3 Order Placement

3.3.1 To place an order, you must:

  • Accept our quotation in writing
  • Provide clear, complete copies of all Source Documents
  • Provide any required contextual information
  • Confirm delivery requirements and deadlines
  • Make full payment as specified in Section 4
3.3.2 Order Confirmation After Payment

We will confirm order acceptance in writing only after payment has been received and cleared in our account, specifying:

  • Scope of Services
  • Agreed price
  • Delivery Date
  • Any special requirements or conditions
  • Certifying company (Los Jurados UK Ltd or ATCG Tõlkebüroo OÜ)

3.3.3 Work will not commence until payment is received in full and has cleared in our account.

3.4 Rush and Urgent Services

3.4.1 We offer expedited services subject to availability, prepayment, and surcharges:

  • Same-Day Service: Orders received before 11:00 AM with payment cleared may be completed the same Business Day (subject to availability and surcharge)
  • Next-Day Service: Orders received before 4:00 PM with payment cleared may be completed the following Business Day (subject to surcharge)
  • Weekend/Holiday Service: Available by special arrangement with premium pricing and advance payment

3.4.2 Urgent service availability depends on translator capacity, document complexity, and language pair.

3.4.3 We will confirm whether urgent deadlines can be met only after payment has been received.

3.4.4 Urgent Services Payment Requirement For urgent services, immediate payment by bank transfer or card is required before work can commence.

4. Payment Terms

4.1 Pricing

4.1.1 Prices are quoted in British Pounds Sterling (GBP) unless otherwise agreed.

4.1.2 Our pricing is based on:

  • Word count or page count of Source Documents
  • Language pair complexity
  • Type of certification required
  • Urgency of delivery
  • Subject matter specialisation

4.1.3 Additional charges may apply for:

  • Notarisation (solicitor or Notary Public fees)
  • Legalisation (FCDO fees plus administration)
  • Postage and courier services
  • Urgent processing
  • Documents requiring special formatting or layout
  • Hard-copy binding and presentation

4.1.4 All prices exclude VAT unless otherwise stated. VAT will be added at the prevailing rate where applicable.

4.2 Payment Methods

4.2.1 We accept payment by:

  • Bank transfer (BACS/Faster Payments) to Los Jurados UK Ltd account
  • Credit or debit card
  • PayPal
  • Other methods as agreed in writing

4.2.2 Payment details will be provided in the quotation or invoice.

4.3 Payment Terms for Individual Clients

4.3.1 Mandatory Prepayment for Individual Clients

Payment is required in full and must be received in our account before commencement of work. This is a mandatory condition for all individual clients.

4.3.2 For urgent orders, payment must be received and cleared before work begins. We recommend using Faster Payments or card payment for immediate clearance.

4.3.3 Work will not commence, and Delivery Dates cannot be guaranteed, until payment has cleared in our account.

4.3.4 We reserve the right to decline delivery until payment is received in full.

4.4 Payment Terms for Business and Corporate Clients

4.4.1 New business clients are required to pay in advance until credit facilities are established.

4.4.2 Credit accounts may be available for established business clients subject to:

  • Completion of our credit application process
  • Satisfactory credit references
  • Minimum monthly volume commitments
  • Acceptance of our credit terms
  • Successful completion of at least three prepaid orders

4.4.3 Standard credit terms, once approved, are payment within 30 days of invoice date.

4.4.4 We reserve the right to:

  • Require advance payment for first orders from new business clients
  • Suspend credit facilities if payments become overdue
  • Revert to prepayment terms if credit terms are breached
  • Charge interest on late payments as specified in Section 4.7

4.5 Deposits and Advance Payments

4.5.1 Full prepayment (not partial deposit) is required for:

  • All orders from individual clients
  • Large or complex projects
  • Projects requiring third-party services (notarisation, legalisation)
  • New clients without established credit facilities
  • Projects with significant advance costs
  • All urgent and expedited services

4.5.2 Payment amounts will be specified in the quotation or order confirmation.

4.6 Payment Confirmation

4.6.1 Upon receiving your payment, we will:

  • Confirm receipt via email
  • Provide order confirmation with reference number
  • Confirm the Delivery Date
  • Commence work immediately (if payment has cleared)

4.6.2 For bank transfers, please allow time for payment clearance:

  • BACS/Faster Payments (UK): Usually same Business Day
  • International bank transfers: 2-5 Business Days
  • Card payments: Immediate clearance

4.7 Late Payment (Credit Account Holders Only)

4.7.1 If payment from credit account holders is not received by the due date, we reserve the right to:

  • Suspend work on current or future projects
  • Revert to prepayment terms for all future orders
  • Charge interest on overdue amounts at 8% above the Bank of England base rate per annum
  • Charge reasonable debt recovery costs
  • Pursue legal remedies for non-payment

4.7.2 Time for payment is of the essence.

4.8 Refunds and Cancellations

4.8.1 Cancellation charges apply as follows:

  • Cancellation before work commences: Full refund (minus 5% administration fee)
  • Cancellation after work commences but before 50% completion: 50% refund
  • Cancellation after 50% completion: No refund

4.8.2 If we cannot complete Services due to our error or failure, you will receive a full refund of any payments made.

4.8.3 Refunds will be processed within 14 Business Days of approval to the original payment method.

4.8.4 For urgent services where work has already commenced, cancellation may not be possible, and full payment will be retained.

5. Delivery and Timescales

5.1 Delivery Methods

5.1.1 We provide delivery by:

  • Email: PDF certified translations sent via email (most common for UKVI applications)
  • Post: Royal Mail First Class or Recorded Delivery to UK addresses
  • Courier: DHL, UPS, or similar for international or urgent deliveries
  • Collection: From our London office by appointment

5.1.2 The default delivery method is email unless you request otherwise.

5.2 Delivery Timescales

5.2.1 Standard Delivery Timescales (calculated from payment clearance)
  • 1-2 pages: 24-48 hours
  • 3-5 pages: 2-3 Business Days
  • 6-10 pages: 3-5 Business Days
  • Over 10 pages: To be agreed based on complexity

5.2.2 Delivery timescales are estimates and not guaranteed unless specified as a "guaranteed deadline" for which premium charges apply.

5.2.3 Timescales commence upon:

  • Receipt and clearance of full payment in our account
  • Receipt of clear, complete Source Documents
  • Order confirmation
5.2.4 Important: Payment-Based Timescales

Delivery timescales begin only after payment has cleared in our account, not from the date of order placement.

5.3 Delays and Force Majeure

5.3.1 We will use reasonable endeavours to meet agreed Delivery Dates once payment has been received.

5.3.2 We shall not be liable for delays caused by:

  • Late payment or payment clearance delays
  • Your failure to provide complete or legible Source Documents
  • Late instructions or changes to requirements
  • Translator illness or unavailability
  • Third-party delays (notaries, FCDO, couriers)
  • Banking system delays
  • Force majeure events (see Section 5.4)

5.3.3 If we anticipate a delay, we will notify you promptly and propose a revised Delivery Date.

5.4 Force Majeure

5.4.1 Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:

  • Acts of God (floods, earthquakes, severe weather)
  • War, terrorism, civil disorder
  • Government action, legislation, or regulations
  • Industrial disputes not involving our employees
  • Fire, explosion, or accident
  • Pandemic, epidemic, or public health emergency
  • Failure of utilities, telecommunications, or IT systems
  • Banking system failures or payment processing disruptions

5.4.2 The affected party must notify the other promptly and take reasonable steps to mitigate the impact.

5.4.3 If force majeure continues for more than 30 days, either party may terminate the contract without penalty. Prepaid amounts for undelivered services will be refunded.

6. Quality and Certification Standards

6.1 Quality Commitment

6.1.1 We are committed to delivering translations that:

  • Accurately and completely represent the meaning of the Source Document
  • Are fit for their intended purpose
  • Comply with relevant UK standards and authority requirements
  • Maintain appropriate register, tone, and terminology

6.2 Certification Standards

6.2.1 Our certified translations are produced in accordance with:

  • UK industry best practice guidelines for certified translations (ATC, CIOL, ITI standards)
  • UK Home Office and UKVI requirements (where applicable)
  • Court and legal sector requirements (where applicable)

6.2.2 Certified translations include:

  • A formal certificate of accuracy signed by an authorised representative or the translator
  • The certification stamp of Los Jurados UK Ltd or ATCG Tõlkebüroo OÜ
  • Company details and contact information
  • A clear copy of the Source Document
  • Professional binding or PDF compilation

6.3 Certificate Wording

6.3.1 Our certificates state that the translation is, to the best of professional knowledge, a true and accurate representation of the Source Document.

6.3.2 Certificates include:

  • Translator qualifications or experience
  • Source and target languages
  • Document identification
  • Date of certification
  • Signature of authorised person
  • Company stamp and details
  • Certifying company name and registration details

6.4 Dual Company Certification

6.4.1 Depending on project requirements, translations may be certified by:

  • Los Jurados UK Ltd for UK-focused applications and services, or
  • ATCG Tõlkebüroo OÜ for international projects or specific language pairs

6.4.2 Both certifications meet UK authority requirements including UKVI, courts, and professional bodies.

6.4.3 If you have a preference for which entity certifies your translation, please specify this when placing your order.

6.5 UKVI Compliance

6.5.1 Translations for UKVI purposes are produced in accordance with Home Office requirements current at the time of production.

6.5.2 We cannot guarantee that UKVI or other authorities will accept our translations, as acceptance decisions are made by the receiving authority.

6.5.3 We strongly recommend that Clients verify current requirements with the receiving authority before ordering translations.

6.5.4 Both Los Jurados UK Ltd and ATCG Tõlkebüroo OÜ certified translations are accepted by UKVI when produced in accordance with their guidelines.

6.6 Notarisation and Legalisation

6.6.1 Notarisation: Where required, we arrange for certified translations to be signed in the presence of a Notary Public.

6.6.2 Legalisation (Apostille): Where required, we can arrange for notarised translations to be legalised by the Foreign, Commonwealth & Development Office (FCDO).

6.6.3 Notary and FCDO fees are charged in addition to translation costs and must be paid in advance.

6.6.4 Processing times for notarisation and legalisation are subject to third-party schedules and are additional to translation timescales.

6.7 Quality Assurance Process

6.7.1 Our quality process includes:

  • Translator selection based on qualifications and expertise
  • Translation by qualified linguists
  • Review and proofreading procedures
  • Format and layout checks
  • Final quality control before delivery

6.7.2 We maintain records of translator qualifications and project details in accordance with professional standards.

7. Client Obligations

7.1 Source Documents

7.1.1 You must provide:

  • Clear, complete, and legible copies of all Source Documents
  • All pages of multi-page documents
  • Original language versions (not previous translations)
  • Scans or photographs at sufficient resolution (minimum 300 dpi recommended)

7.1.2 If Source Documents are unclear, incomplete, or illegible, we may:

  • Request better quality copies (which may delay delivery)
  • Provide a partial translation with annotations
  • Decline to proceed with the translation (full refund provided)
  • Note limitations in the certificate

7.2 Payment Obligation

7.2.1 You are responsible for:

  • Making full payment before work commences
  • Ensuring payment is sent to the correct account
  • Allowing sufficient time for payment clearance
  • Notifying us immediately when payment is made
  • Providing payment reference or proof of payment
7.2.2 Consequences of Late Payment Failure to make timely payment will result in: delay to your Delivery Date, possible cancellation of your order, and loss of urgent service slots.

7.3 Accuracy of Information

7.3.1 You are responsible for:

  • The accuracy and completeness of Source Documents
  • Correctly specifying the intended use of translations
  • Informing us of any special requirements or terminology
  • Providing context where necessary

7.3.2 We are not responsible for errors in Source Documents or for translating content that is already incorrect.

7.4 Verification with Receiving Authorities

7.4.1 You are responsible for verifying:

  • That the type of certification we provide meets the requirements of the receiving authority
  • Current requirements of UKVI, courts, or other bodies
  • Whether notarisation or legalisation is required
  • Any specific formatting or presentation requirements
  • Whether certification from Los Jurados UK Ltd or ATCG Tõlkebüroo OÜ is acceptable to your receiving authority

7.4.2 While we provide guidance based on our experience, final responsibility for ensuring translations meet authority requirements rests with the Client.

7.5 Document Authenticity

7.5.1 You warrant that:

  • Source Documents are authentic and have not been altered
  • You have the right to request translation of the documents
  • Documents are not fraudulent or misleading
  • Use of the translations is lawful and proper

7.5.2 We do not verify the authenticity of Source Documents and take no responsibility for their validity.

7.6 Timely Communication

7.6.1 You must:

  • Respond promptly to our requests for information or clarification
  • Notify us immediately of any changes to requirements or deadlines
  • Inform us of any errors or issues as soon as they are discovered
  • Provide feedback and approval within reasonable timescales

8. Intellectual Property

8.1 Copyright in Translations

8.1.1 Copyright in the Target Document (translation) is owned by Los Jurados UK Ltd or ATCG Tõlkebüroo OÜ (as applicable) until full payment is received and cleared.

8.1.2 Upon full payment clearance, you receive a non-exclusive, perpetual licence to use the translation for its intended purpose.

8.1.3 You may not:

  • Resell or sublicense the translation
  • Claim ownership of the translation copyright
  • Remove certification statements or company details
  • Modify the certified translation (doing so invalidates the certification)

8.2 Copyright in Source Documents

8.2.1 You warrant that:

  • You own copyright in Source Documents or have permission to request translation
  • Translation and use of the documents does not infringe third-party rights
  • You have authority to provide the documents to us

8.2.2 You indemnify us against any claims arising from copyright infringement in Source Documents.

8.3 Use of Translations

8.3.1 Translations are licensed for your use only and may not be:

  • Provided to third parties for commercial purposes
  • Used for purposes materially different from those specified when ordered
  • Reproduced in publications without our consent
  • Used to create derivative works without permission

8.4 Company Materials

8.4.1 All company materials of both Los Jurados UK Ltd and ATCG Tõlkebüroo OÜ, including website content and design, marketing materials and brochures, certification templates and stamps, and business processes and methods, remain our intellectual property and may not be reproduced without written permission.

9. Liability and Indemnity

9.1 Standard of Care

9.1.1 We will perform Services with reasonable care and skill in accordance with UK industry standards.

9.1.2 We do not warrant that:

  • Translations will be accepted by any particular authority
  • UKVI or other immigration applications will be successful
  • Legal proceedings will have favourable outcomes
  • Translations are suitable for purposes other than those specified

9.2 Limitation of Liability

9.2.1 Our total liability to you for any loss or damage arising from or in connection with these Terms or the Services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the fees paid by you for the specific Services giving rise to the claim.

9.2.2 We shall not be liable for:

  • Loss of profits, revenue, business, or contracts
  • Loss of anticipated savings
  • Loss of or corruption to data
  • Loss of goodwill or reputation
  • Any indirect or consequential loss or damage
  • Delays caused by late payment or payment clearance issues
  • Costs incurred due to rejection by authorities for reasons beyond translation quality

9.2.3 Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability which cannot be excluded or limited under applicable law

9.3 Errors and Corrections

9.3.1 If you identify an error in the translation, you must notify us in writing within:

  • 30 days of delivery for standard projects
  • 7 days of delivery for urgent projects

9.3.2 Upon notification, we will:

  • Review the claimed error
  • Provide a corrected translation if an error is confirmed
  • Re-issue certification if necessary
  • Bear reasonable costs of correction

9.3.3 Our obligation is limited to correction of errors. We are not liable for:

  • Consequential losses arising from errors
  • Costs incurred before notification
  • Issues arising from errors in Source Documents
  • Rejection by authorities for reasons other than translation quality
  • Delays in applications or proceedings

9.4 Third-Party Services

9.4.1 Where we arrange third-party services (notaries, FCDO legalisation, couriers), we act as an agent only.

9.4.2 We are not liable for delays or failures by third parties, quality or accuracy of third-party services, loss or damage to documents in third-party possession, or third-party fees or charges.

9.4.3 You may be required to enter into direct agreements with third-party providers.

9.5 Client Indemnity

9.5.1 You agree to indemnify and hold us harmless against all claims, losses, damages, costs, and expenses arising from:

  • Your breach of these Terms
  • Copyright infringement in Source Documents
  • Fraudulent or altered documents
  • Your misuse of translations
  • Your failure to verify authority requirements
  • Your failure to make timely payment

10. Data Protection and Confidentiality

10.1 Data Protection Compliance

10.1.1 Los Jurados UK Ltd processes personal data in accordance with UK General Data Protection Regulation (UK GDPR), Data Protection Act 2018, and Privacy and Electronic Communications Regulations 2003.

10.1.2 ATCG Tõlkebüroo OÜ processes personal data in accordance with European Union General Data Protection Regulation (EU GDPR), Estonian Personal Data Protection Act, and relevant Estonian and EU data protection regulations.

10.1.3 Our data protection registration and privacy policy are available on request and on our website.

10.2 Personal Data in Documents

10.2.1 Source Documents frequently contain personal data such as names, dates of birth, addresses, and identification numbers.

10.2.2 By providing documents for translation, you confirm that you have lawful basis to share the personal data with us, data subjects have been informed or would reasonably expect their data to be processed for translation purposes, and you have complied with applicable data protection laws.

10.3 How We Use Personal Data

10.3.1 We use personal data in documents solely for providing translation and certification services, quality control and record-keeping, compliance with legal and professional obligations, communication regarding your order, and processing payments.

10.3.2 Personal data is shared only with translators working on your project (as data processors), third-party service providers where necessary (notaries, FCDO), ATCG Tõlkebüroo OÜ (our parent company) where they are providing certification, and authorities or courts where legally required.

10.3.3 All translators and third parties are bound by confidentiality and data protection obligations.

10.4 Data Retention

10.4.1 We retain copies of Source Documents, translations, certificates and correspondence, and payment records.

10.4.2 Retention periods:

  • Translation project files: 6 years (in accordance with UK limitation periods)
  • Financial records: 6 years (in accordance with HMRC requirements)
  • Correspondence: 2 years

10.4.3 After retention periods expire, documents are securely deleted or destroyed.

10.4.4 You may request earlier deletion subject to our legal and regulatory obligations.

10.5 Data Security

10.5.1 We implement appropriate technical and organisational measures to protect personal data, including secure file transfer systems, encrypted email communication where appropriate, access controls and password protection, regular security reviews and updates, and secure payment processing systems.

10.5.2 Translators and staff are trained in data protection and confidentiality requirements.

10.6 Confidentiality

10.6.1 We treat all Source Documents and translations as confidential.

10.6.2 We do not disclose document contents to third parties except translators and service providers necessary to fulfil the Services, ATCG Tõlkebüroo OÜ where they are involved in certification, where required by law or court order, or with your express permission.

10.6.3 Confidentiality obligations continue after completion of Services and termination of our relationship.

10.7 Your Data Rights

11. Complaints and Dispute Resolution

11.1 Complaints Procedure

11.1.1 If you are dissatisfied with our Services, please contact us:

11.1.2 Please provide your order reference number, payment confirmation details, details of the issue or complaint, copies of relevant documents, and explanation of desired resolution.

11.1.3 We will acknowledge your complaint within 2 Business Days, investigate the matter thoroughly, respond with our findings and proposed resolution within 10 Business Days, and escalate complex matters to senior management if necessary.

11.2 Professional Standards

11.2.1 We adhere to professional codes of conduct and standards set by leading UK translation industry bodies including the Association of Translation Companies (ATC), Institute of Translation and Interpreting (ITI), and Chartered Institute of Linguists (CIOL).

11.2.2 We are committed to achieving professional accreditation and membership with relevant industry bodies.

11.3 Alternative Dispute Resolution

11.3.1 If a complaint cannot be resolved directly, we encourage use of mediation services, alternative dispute resolution (ADR) procedures, and professional body dispute resolution schemes.

11.3.2 Both parties agree to negotiate in good faith before pursuing formal legal proceedings.

11.4 Legal Proceedings

11.4.1 If disputes cannot be resolved through negotiation or ADR, either party may commence legal proceedings.

11.4.2 For services certified by Los Jurados UK Ltd, the courts of England and Wales have exclusive jurisdiction.

11.4.3 For services certified by ATCG Tõlkebüroo OÜ, disputes may be subject to Estonian jurisdiction depending on the nature of the dispute and the parties' locations.

12. General Provisions

12.1 Entire Agreement

12.1.1 These Terms, together with our quotation or order confirmation, payment confirmation, any written amendments agreed between the parties, and our Privacy Policy, constitute the entire agreement between the parties and supersede all previous agreements, representations, and understandings.

12.2 Amendments

12.2.1 We may update these Terms from time to time. Changes will be posted on our website with the revision date.

12.2.2 Changes apply to orders placed after the revision date. Existing projects continue under the Terms in force when the order was placed and payment was made.

12.2.3 Material changes affecting specific orders will be communicated directly to affected Clients.

12.3 Severability

12.3.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

12.3.2 Invalid provisions shall be modified to the minimum extent necessary to make them valid and enforceable whilst preserving their intent.

12.4 Waiver

12.4.1 Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

12.4.2 Waivers must be in writing and signed by an authorised representative.

12.5 Assignment

12.5.1 You may not assign, transfer, or subcontract your rights or obligations under these Terms without our written consent.

12.5.2 We may assign our rights and obligations to ATCG Tõlkebüroo OÜ or another company within our group, a purchaser of our business or assets, or a successor entity upon written notice to you.

12.6 Third-Party Rights

12.6.1 These Terms are between you and Los Jurados UK Ltd (and where applicable, ATCG Tõlkebüroo OÜ). No third party has any right to enforce any provision of these Terms.

12.6.2 The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.

12.7 Governing Law and Jurisdiction

12.7.1 These Terms are governed by the laws of England and Wales.

12.7.2 Any disputes arising from or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless services were certified by ATCG Tõlkebüroo OÜ, in which case Estonian law may apply.

12.8.2 Notices are deemed received:

  • Email: On transmission (if sent during Business Hours) or at 9:00 AM on the next Business Day

12.9 Survival

12.9.1 Provisions that by their nature should survive termination of these Terms shall continue in effect, including payment obligations, intellectual property rights, confidentiality obligations, liability limitations, data protection obligations, and dispute resolution provisions.

13. Acceptance

By placing an order with Los Jurados UK Ltd, you confirm that:

  1. You have read and understood these Terms & Conditions
  2. You agree to be bound by these Terms
  3. You have authority to enter into this agreement
  4. All information you have provided is accurate and complete
  5. You understand and accept that work will not commence until full payment is received and cleared in our account
  6. You accept that translations may be certified by either Los Jurados UK Ltd or ATCG Tõlkebüroo OÜ depending on project requirements
